1. GENERAL

These terms and conditions (the “Terms and Conditions” or "T&Cs") govern the relationship between Bric America LLC ("Bric"), a Delaware Limited Liability Company with address at 16192 Coastal Highway, Lewes, Delaware, 19958, and the users, whether individuals, companies, or other legal entities (the “Users” or the “User” when referred to individually, and together with Bric the “Parties” or the “Party” when referred to individually), of Bric’s website, digital platform, or mobile application (the “Sites”).These T&Cs include important information and disclosures associated with the services provided by Bric on the Sites, all of which affect Users’ legal rights and obligations. All Users shall be bound by these Terms and Conditions as described below.

​BY ACCESSING OR USING THE SITES, USERS REPRESENT THAT THEY:​

(1) HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE T&Cs,​

(2) HAVE THE LEGAL AGE TO FORM A BINDING CONTRACT WITH BRIC, AND​

(3) HAVE THE AUTHORITY TO ENTER INTO THE TERMS OF USE PERSONALLY OR ON BEHALF OF THE ENTITY NAMED AS THE REGISTERED USER, AND TO BIND THAT ENTITY TO THE T&Cs.​

These T&Cs do not alter in any way the terms and conditions of any other agreement Users may have with Bric, or its subsidiaries or affiliates, for products, services, or otherwise.

​If User is using the Sites on behalf of any entity, User represents and warrants that User is authorized to accept these T&Cs on such entity’s behalf, and that such entity agrees to be responsible to Bric for any violations of these T&Cs.

​Bric reserves the right to change or modify any of these T&Cs or any policy or guideline of the Sites, at any time and in its sole discretion. If Bric makes changes to these T&Cs, Users will receive notice of such changes via email, using the email address provided during registration. Bric will also post a notice on the Sites or update the “Last Updated” date, which may be listed on these T&Cs or the Sites. Continued use of the Sites following the posting of changes or modifications will confirm the acceptance of such changes or modifications. Therefore, Users should frequently review the email provided at the registration and the T&Cs and applicable policies whenever accessing the Sites and at least every thirty (30) days to make sure that they understand the terms and conditions that will apply to the use of the Sites. By using the Services, User acknowledges and agrees that Bric's decisions regarding the modification of any of these T&Cs or any policy or guideline of the Sites are final and binding.​

IN CASE USER DOES NOT AGREE WITH THE FOREGOING PROVISIONS, USER MUST REFRAIN FROM USING THE SITES AND/OR BRIC’S SERVICES.

2. SERVICE CONDITIONS

2.1 Bric offers a service through which the creation, acquisition, storage, and potential transfer of cryptographic digital tokens is facilitated (the “Services”). These tokens are part of a series of Polygon blockchain-based smart contract tokens, issued under the ERC-1155 Standard (the “Tokens”).

​2.2 The Tokens will be representing Delaware C Corporations’ shares or interests in any other type of compatible corporate structure deemed more appropriate for the specific case (the “Companies”, or the “Company” when referred to individually), with the objective of purchasing and owning one specific real estate property. Each of these Companies will provide the option to acquire a specified quantity of their shares, in the form of Tokens (the “Offering”). The Offering shall enable the acquisition of a fractional indirect interest in the underlying real estate asset, which will be stored in Users’ digital wallets in the form of Tokens.
The Tokens will entail legal rights, protections, and obligations associated with the underlying common shares (the “Shares”) as specified in the Companies’ certificates of incorporation and bylaws, as amended from time to time, and any binding agreements between the Companies and the shareholders (the “Shareholders” or the “Tokenholders”).

​2.3 Each Offering is made pursuant to and will be governed by an offering memorandum and supplementary offering documents which may be amended or supplemented from time to time (the “Offering Documents”). By participating in any of the Offerings through the Sites, User agrees and understands that each Offering has its own terms, rules, and risks and it is User’s responsibility to carefully review all terms, rules, risk factors, and Offering Documents, and decide on User’s own if User agrees with them.

​2.4 Bric makes no representation or warranty that the potential subscription User has considered will take place, or that if it takes place, that it will be accepted. If Users are provided the opportunity to subscribe to an Offering, Users will be required to complete and sign additional documentation.​

2.5 Bric’s decisions are final in all matters relating to the Sites, the Services, and the services provided to the Companies to which Bric will be bound by a management service agreement (Bric acting as the “Company’s Manager”), and any other activities related to the Sites.​

3. TOKEN OFFERING

3.1 The Tokens associated with any Offering to which User may subscribe, will be governed by the terms and conditions set forth in the applicable Offering Documents related to the specific Offering provided to Users. User may need to complete several steps to purchase Tokens in a specific Offering including, but not limited to: a. Completing the registration form to create a user account and password on the Sites, and agree to these Terms and Conditions and Bric’s Privacy Policy (the “Privacy Policy”); b. Completing the initial Know Your Customer (“KYC”), Anti-Money Laundering (“AML”), and ID verification process, as instructed; c. Creating a digital asset wallet in the Sites (the “Bric Wallet”) or with a third party (the “Third Party Wallet”), connect it with the Sites, and fund it; d. Selecting the desired Offering in User profile’s dashboard and opt for purchasing the Tokens as indicated in the Sites; e. Thoroughly reviewing the Offering Documents for the pertinent Offering; f. Conducting inquiries or request additional information from the Company’s agents, if necessary; g. Obtaining tax, legal, and financial advisory to assess the suitability of potentially acquiring the Shares, in the form of Tokens, based on the individual circumstances of User; h. Making payment to the account or address designated by the Company, which will held by the Company or the Company’s Manager, safeguarding their availability for Company’s use and, if applicable, delivery of the Shares, in the form of Tokens. The Companies require the completion of all Offering subscription documentation within 48 hours of payment prior to any review of the subscription, issuance, or delivery of the Shares, in the form of Tokens; i. Reviewing and signing the Offering subscription documentation. Except as otherwise required by law, subscriptions are irrevocable, and by executing the Offering subscription documentation, User agrees to be bound by its terms; and j. Providing additional information as necessary for enhanced KYC and AML verifications.

​3.2 Once the User has completed the steps required to purchase Tokens in a specific Offering: a. The Company’s Manager will review the completed Offering subscription documentation and may require further information or directly contact User; subscriptions are reviewed on a first-come, first-served basis; b. The Company reserves the right to accept or reject any subscription for Shares, in the form of Tokens, in whole or part for any reason whatsoever, at its sole discretion. If a subscription is rejected by the Company, either in full or partially, funds tendered for the rejected portion of the subscription will be returned to User, without interest and net of any outgoing wire or other transaction fees, promptly after such rejection, along with notice thereof. If payment was made in cryptocurrency, it may be returned in the original cryptocurrency or another currency at the discretion of the Company; c. Upon acceptance of the subscription by the Company, the subscription amount unconditionally becomes available for the benefit of the Company. If payment was made in cryptocurrency, it will be converted into U.S. dollars upon receipt; and d. After acceptance, the applicable number of Tokens will be issued and delivered to User’s Bric Wallet or Third-Party Wallet.​

3.3 The Shares, in the form of Tokens, corresponding to each of the Offerings at the Sites, have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any securities law of any state of the United States or any other jurisdiction, and are made only to “non-US Persons” in an “offshore transaction” as such terms are defined Regulation S promulgated by the Securities and Exchange Commission (the “Regulation S”), pursuant to § 230.902 of Title 17 of the Electronic Code of Federal Regulations (e-CFR), primarily in reliance upon the exemption from securities registration provided for in Regulation S –without precluding any other pertinent non-exclusive and non-excluding applicable federal, state, or foreign exemptions–. Neither the U.S. Securities and Exchange Commission nor any state securities commission or other regulatory authority has approved, passed upon or endorsed the merits of any securities Offering on the Sites.​

3.4 The Shares, in the form of Tokens, corresponding to each of the Offerings at the Sites, are highly speculative in nature and involve a high degree of risk, and should be purchased only by persons who can afford to lose their entire investment. There will initially be no public market for the Tokens and no public market may ever develop Engaging in private placements, such as this, requires high risk tolerance, low liquidity concerns, and long-term commitments.

4. TOKEN SALES OR REPURCHASE


1. Users may potentially engage in private transfers of the acquired Tokens to other qualified Users by requesting a transfer through a peer-to-peer private system that may be implemented within the Sites for exclusive use by Users, but are not permitted to make offerings, sell, distribute, assign, pledge or otherwise transfer the Tokens to third parties. Transfer requests must receive approval from the Company’s Board at its sole discretion, a responsibility that can be delegated to Bric, acting as the Company’s Manager. This is in addition to any other restrictions that may be in place for the transfers of the Tokens. Bric may request additional information about the Users’ personal and financial situation before approving any transfer. The refusal of Bric to proceed with the transfer will obstruct the sale, and the selling User may request reasonable information regarding the refusal. Upon fulfilling these requirements, all transfers will be executed as peer-to-peer transactions. It is important to note that this transfer system does not establish a public market, does not guarantee or promise liquidity to the Shareholders/Tokenholders, and will be subject to restrictions, representations, and requirements under any applicable agreements, laws, and regulations.​

2. Users may request the repurchase of their Tokens to the Companies. Such requests for repurchase are subject to approval by the Company’s Board at its sole discretion, a responsibility that can be delegated to Bric, acting as the Company’s Manager. While the initial repurchase price may be proposed by the Shareholder/Tokenholder making the request, the Company reserves the right to reject this proposal based on any valuation it considers appropriate. The Company is under no obligation to approve or accept the repurchase offer or its proposed price. It is important to note that this repurchase system does not establish a public market, does not guarantee or promise liquidity to the Shareholders/Tokenholders, and will be subject to restrictions, representations, and requirements under any applicable private agreements, laws, and regulations.

​3. Both the peer-to-peer transfer and repurchase processes may involve associated fees for the Users involved in the respective transactions. These fees are designed to cover operational and technical expenses to maintain the integrity and stability of the system and will be charged by Bric. The fees may vary, falling within a range of zero to two point five percent (0% to 2.5%) of the transaction’s value. The exact fee percentage will be determined based on specific transaction parameters and will be clearly communicated to the Shareholders/Tokenholders prior to the finalization of the transaction.

5. REGISTERING; SERVICE ACCOUNT; WALLET

​1. To access the Services provided through the Sites, User must access the digital platform via the web landing page (website), and complete all fields in the registration form (the “Registration”). This process includes going through the KYC and AML verification procedures. User must ensure that all data provided in the Registration and during the KYC and AML processes are correct, valid, and accurate, affirming the truthfulness of the information submitted to Bric.​

2. Bric may request additional documents and/or additional information in order to corroborate User’s personal data. Likewise, Bric may suspend temporarily or permanently Users whose personal information cannot be confirmed.​

3. To access User’s personal account, User must log in with a user ID registered in the Sites and a personal password (the (“Account”)). User understands that it is under its obligation to keep the password confidential, as well as being solely responsible for the proper safekeeping of the Account, assuming the complete responsibility towards Bric and/or third parties for any damages that may occur as a result of its own actions, or the actions of the dependents’ or third parties authorized by User. Accordingly, User shall indemnify and hold Bric harmless for the improper use of its Account.​

4. The right to use the Sites and the Services is personal to User or to the business or entity on behalf of which the Users are registering, and is not transferable to any other person or entity. As a user of the Sites and Services, User must comply with these T&Cs and the Privacy Policy. In consideration of User’s use of the Sites and the Services and by creating an Account, User agrees to: a. Provide accurate, current, and complete information about User as may be prompted by any registration, KYC, and AML forms on the Sites (“Registration Data”);b. Maintain the security of User’s password and identification;c. Maintain and promptly update the Registration Data, and any other information User provides to Bric, to keep it accurate, current, and complete; andd. Accept all risks of unauthorized access to the Registration Data and any other information User provides to Bric.

​5. By creating an Account, User represents and warrants that all Registration Data for the Account that User submits is truthful and accurate. User agrees not to use the Account of another user. Users are solely responsible for any and all use of User’s Account. User agrees that sharing the Services with another person or providing another person access to the Services through User’s Account breaches these T&Cs and may constitute fraud or theft, for which Bric reserves all rights and remedies. User agrees not to authorize any other individual or entity other than User’s authorized agents, if any, to use the Sites or Services via User’s Account.​

6. Users are not obligated under law to provide Bric with any personally identifying information. However, if User does not provide the Registration Data or any other requested personally identifying information, User will not be able to use certain features of the Sites or the Services. Bric will use User’s personally identifying information as set forth in the Privacy Policy. User represents and warrants that User has reviewed the Privacy Policy and agreed to its terms.

6. WALLET

1. Prior to making a Token acquisition through the Services, User will be prompted to provide a compatible cryptographic asset storage wallet (the (“Wallet”)) and connect it to the Sites. User can create a Bric Wallet within the Sites or set up a Third-Party wallet with a cryptocurrency wallet provider chosen by User. In case of selecting a Third-Party Wallet provider, User will be subject to the terms and conditions and any agreement established between User and the respective wallet provider.

​2. To create a Bric Wallet, User is required to set up a Personal Identification Number (the (“PIN”)). This PIN is known only to User and serves to encrypt and wrap the cryptographic private key (the (“Private Key”)) of the Bric Wallet. The Private Key, essential for accessing and performing operations within the Bric Wallet, is accessible through the use of this PIN. Bric does not have access to either the PIN or the Private Key. Users can view their complete Private Key in their Account by entering their PIN. Alternatively, they can opt to have the Private Key removed from their Account for independent storage at their discretion.​

3. If User loses, forgets, or has their PIN or Private Key related to the Bric Wallet stolen, altered, or they otherwise become inaccessible, the contents of the Bric Wallet, including any cryptographic assets or currency, may become irretrievable. User bears the sole responsibility for safeguarding the PIN and the Private Key, and hereby releases Bric from any liability arising from loss, theft, alteration, or any other form of inaccessibility of their PIN or Private Key. In such events, User may notify Bric of the situation at the following email address: contact@inbric.io. However, as previously stated, notifying Bric does not obligate or enable Bric to regenerate, provide a new PIN or Private Key, or restore any assets that might have been stored in the Wallet, in accordance with Section 6.4.

​4. Notwithstanding the foregoing, in instances where a Token is lost, stolen, altered, or otherwise becomes inaccessible –including due to User’s Wallet inaccessibility – upon the referred notification to Bric, Bric shall inform the situation to the corresponding Company, whose Shares were delivered in the form of Tokens. At Shareholder/Tokenholder’s request, the Company will initiate an internal review process which will exclusively analyze the situation concerning the Tokens, without considering any other assets in the Wallets. For this process, the Shareholder/Tokenholder shall furnish adequate information and documentation to confirm their identity and validate their ownership of the Token. Additionally, Shareholder/Tokenholder is required to submit an affidavit of loss and an indemnity agreement in a form acceptable to the Company. Upon satisfying these requirements, and if it is technically feasible, the Company may, at its discretion, issue a new Token to be delivered to the Wallet designated by the Shareholder/Tokenholder. This issuance is subject to any additional information or documentation that the Company may request. For the avoidance of doubt, this process applies exclusively to the Tokens and does not extend to other cryptographic assets or currencies held in the Wallet.

​5. Bric shall not assume any obligation to safeguard the assets stored in the Wallets, nor will it undertake any duties in relation to the Wallets, either Bric’s Wallet or Third-Party Wallets. Bric does not have access to, nor does it act as a custodian for, the assets stored in the Wallets. This extends to all forms of cryptographic assets and virtual currencies contained within the Wallets. Bric expressly disclaims any liability for delays, losses, theft, alteration, costs, damages, and non-delivery of the Tokens, other cryptographic assets, or any virtual currency stored in the Wallet. It is solely and exclusively the responsibility of the Users to manage and secure the assets and currencies contained within the Wallets.​

7. USE OF THE SITES

​The use of any of the Sites in violation of applicable laws is expressly prohibited, and Users are solely responsible for verifying that their use of the Sites and consummation of transactions contemplated by the Sites are permitted in User’s jurisdiction and comply with all applicable laws, regulations, orders and court decisions. If User has any questions regarding legality in User’s jurisdiction, User should consult User's legal counsel. When User accesses, registers for, or uses the Sites, User does so at User's own risk, and Users are solely responsible for complying with all applicable rules and regulations in connection with activities relating to the Sites. Prohibited activities include, but are not limited to User: a. using the Sites for any illegal or unauthorized purposes, including but not limited to activities that violate intellectual property rights, privacy laws, or any other relevant laws and regulations;b. engaging in any form of harassment, abusive behaviour, or the transmission of any harmful, threatening, or offensive content;c. using the Sites to send unsolicited messages, advertisements, or other forms of spam. Any form of automated or unauthorized access to the Sites for the purpose of sending spam is strictly prohibited; d. attempting to access, interfere with, or disrupt the integrity or security of the service, servers, or networks connected to the service without proper authorization;e. impersonating any person or entity, or falsely stating or otherwise misrepresenting their affiliation with a person or entity;f. uploading or transmitting any viruses, worms, malware, or any other code of a destructive or disruptive nature;g. infringing upon the rights of others, including but not limited to intellectual property rights, privacy rights, and publicity rights;h. providing false or misleading information when creating an account or using the service; andi. Not complying with any acceptable use policies or guidelines provided by the service provider, as may be updated from time to time.Any violation of these prohibited activities may result in the immediate termination of User account and may be reported to appropriate law enforcement authorities. Bric reserves the right to take legal action against users engaging in prohibited activities.​

8. NO FINANCIAL ADVICE

Bric is not a registered broker-dealer, funding portal, or investment advisor and does not conduct any activity that would require such registration. None of the information contained on the Sites constitutes a recommendation by Bric or its affiliates to purchase or sell any Tokens or other assets. The information contained in the Sites has been prepared without reference to any particular User’s requirements or financial situation. Any information available through the Sites is not offered as financial advice and should not be the basis for actual financial activities and investment decisions. Bric is not liable for any reliance on information available through the Sites by User or anyone who User may inform of its contents. Users are encouraged to seek the advice of attorneys, tax consultants, and business advisors with respect to the legal, tax, and business aspects of the Tokens prior to making any subscription, purchase, transfer, or financial decision.​

9. COPYRIGHT; TRADEMARKS; LIMITED LICENSE

1. User acknowledges and agrees that the intellectual and industrial property rights in connection with the Services and the elements included in the Sites are property of Bric or Bric’s licensors, suppliers or assignors and are protected by copyright, trademark and other U.S. and international laws governing intellectual property and proprietary rights ((“Propietary Rights”)). Included under Proprietary Rights protections are, but not limited to, text, images, graphics, designs, sounds, databases, software, flowcharts, presentations, audio and video included in the Sites, and any underlying or other technology and intellectual property embodied or contained in, used to provide or support, or otherwise associated or provided in connection with, the Services, including all Proprietary Rights related thereto; and all trade names, trademarks, service marks, trade dress, logos, icons, insignia, symbols, interface and other designs, domain names and corporate names, and the like (whether registered or unregistered) associated or displayed with the Services or in the Sites, together with the goodwill associated with any of the foregoing. During the term of the Services, Bric authorizes User to use, view, print, download and store the content and/or elements incorporated in the Sites (the (“Site Materials”)) only for personal, private and non-profit use. User must abstain from performing any act of disassembly, reverse engineering modification, disclosure or distribution of such elements. Any other use or exploitation different from as mentioned in this Clause will require the prior and express authorization of Bric. User agrees not to perform any act that may cause damage, loss of reputation or decrease of Bric’s intellectual and industrial property rights.

​2. The Sites may contain links to third party platforms. In such cases, Bric has no control over those sites and, therefore, shall not be responsible for the content and/or services provided by such sites, or for any damages or losses caused by the use of such sites, directly or indirectly. The presence of links to other sites will not imply a partnership, relationship, approval or endorsement of Bric of such sites and their contents.​

3. Users are granted a limited, non-sublicensable license to access and use the Sites and electronically copy (except were prohibited without a license) and print to hard copy portions of the Site Materials for User’s informational, non-commercial and personal use only. Such license is subject to these T&Cs and does not include:​a. any resale or commercial use of the Sites or the Site Materials therein;b. the distribution, public performance or public display of any Site Materials;c. modifying or otherwise making any derivative uses of the Sites and the Site Materials, or any portion thereof;d. use of any data mining, robots or similar data gathering or extraction methods; ande. downloading (other than the page caching) of any portion of the Sites, the Site Materials or any information contained therein, except as expressly permitted on the Sites; or f. any use of the Sites or the Site Materials other than for its intended purpose.​

4. Any use of the Sites or the Site Materials other than as specifically authorized herein, without the prior written permission of Bric, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws including without limitation copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these T&Cs shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. This license is revocable at any time.

10. COPYRIGHT COMPLAINTS

​If User believes that anything on the Sites infringe upon any copyright which User owns or controls, User may file a notification of such infringement as set forth below.a. 1. Please see 17 U.S.C512(c)(3) for the requirements of a proper notification. User should note that if User knowingly misrepresents in User’s notification that the material or activity is infringing User will be liable for any damages, including costs and attorneys' fees, incurred by Bric or the alleged infringer as the result of the relying upon such misrepresentation in removing or disabling access to the material or activity claimed to be infringing.​

11. REPEAT INFRINGER POLICY

In accordance with the Digital Millennium Copyright Act ((“DMCA”)) and other applicable laws, Bric has adopted a policy of terminating access to the Sites in appropriate circumstances, and at Bric’s sole discretion, to Users –whether Account holders, Offering subscribers, or Shareholders/Tokenholders –, if any are allowed, who are deemed to be repeat infringers. Bric may also, at its sole discretion, limit access to the Sites and/or terminate the Accounts of any Users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.​

12. HYPERLINKS

​Users are granted a limited, non-exclusive right to create a text hyperlink to the Sites for noncommercial purposes, provided such link does not portray Bric or any of its products and services in a false, misleading, derogatory or otherwise defamatory manner, and provided further that the linking site does not contain any adult or illegal material or any material that is offensive harassing or otherwise objectionable. This limited right may be revoked at any time. User may not use a Bric’s logo or other proprietary graphic of Bric to link to this Sites without the express written consent of Bric. Further, User may not use frame or utilize framing techniques to enclose any Bric trademark logo or other proprietary information including the images found at the Sites, the content of any text or the layout/design of any page or form contained on a page on the Sites without Bric's express written consent.

​Except as noted above, Users are not conveyed any right or license by implication, estoppel or otherwise in or under any patent, trademark copyright or proprietary right of Bric or any third party.

​Bric makes no claim or representation regarding, and accepts no responsibility for the quality, content, nature or reliability of third-party sites accessible by hyperlink from the Sites or any site linking to the Sites. Such sites are not under the control of Bric and Bric is not responsible for the contents of any linked site or any link contained in a linked site, or any review, changes or updates to such sites. Bric provides these links to User only as a convenience and the inclusion of any link does not imply affiliation, endorsement or adoption by Bric of any site or any information contained therein. When User leaves the Sites, User should be aware that the T&Cs and Privacy Policy no longer govern. User should review the applicable terms and policies, including privacy and data gathering practices of any site to which User navigates from the Sites.​

13. SERVICES SUSPENSION, PAUSE AND MODIFICATIONS

Bric reserves the right to suspend, pause, or modify the provision of the Services through the Sites, including, but not limited to, restricting access to Users’ Account. Such actions may be taken without prior notice, for any reason whatsoever, including but not limited to maintenance, enhancement, protection, and repair of the Sites, ensuring its optimal functionality and security. Bric disclaims any liability arising from or related to these actions, and users expressly waive any claims against Bric in this regard. By using the Services, users acknowledge and agree that Bric's decisions regarding the operation of the Sites and provision of Services are final and binding.​

14. PAYMENT AND BILLING

By using the Services offered on the Sites, Users agree to potentially pay all applicable fees and charges, if any, as outlined in these T&Cs. Fees may vary based on the Services purchased and are subject to change at the discretion of Bric.

​Users are responsible for any applicable taxes associated with the services provided, including sales tax, value-added tax (VAT), or any other similar taxes imposed by relevant authorities.​

If Users believe there is an error in billing or if they wish to dispute a charge, they must contact the Bric within seven (7) days of the charge in question. Failure to do so will constitute acceptance of the charges.​

Failure to pay fees on time, if any, may result in the suspension or termination of User’s account. Bric reserves the right to charge interest on overdue amounts at the maximum rate permitted by law.​

Refunds may be issued at the discretion of Bric. Refunds, if granted, will typically be issued using the same payment method used for the original purchase.​

Bric reserves the right to modify fees and billing procedures at any time. Changes to fees will be effective upon notice to User, which may be provided by email or through the platform.​

By using the Services and providing payment information, Users acknowledge and agree to the terms outlined in this “Payment and Billing” section.

15. THIRD-PARTY CONTENT

Bric may provide third party content on the Sites and may provide links to web pages and content of third parties (collectively (“Third-Party Contents”)) as a service to those interested in this information. Bric does not control, endorse or adopt any Third-Party Content and makes no representation or warranties of any kind regarding the Third-Party Content, including without limitation regarding its accuracy or completeness. User acknowledges and agrees that Bric is not responsible or liable in any manner for any Third-Party Content and undertakes no responsibility to update or review any Third-Party Content. Users use such Third-Party Content contained therein at their own risk.​

16. THIRD-PARTY PRODUCTS AND SERVICES

​Bric may provide or allow users to provide information about or links to third-party products or services on the Sites. User’s business dealings or correspondence with or participation in promotions of, such third parties, and any terms, conditions, warranties or representations associated with such dealings or promotions are solely between User and such third party. Bric is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or promotions or as the result of the presence of such non-Bric advertisers or third-party information on the Sites.​

17. FEEDBACK

User acknowledges and agrees that any feedback, comments, suggestions, questions, or the like, regarding the Sites and the Services, including any ideas, know-how, concepts, enhancements, recommendations, or other information or materials relating to the Sites, the Services, Bric or Bric’s general products or services, including suggesting or recommending changes to the Sites such as new features or functionality relating thereto (the (“Feedback”)) that are provided by User in the form of email or other submissions to Bric, or any postings on the Sites, are (as between User and Bric) non-confidential and shall become the sole property of Bric. Bric shall own and User hereby assigns to Bric all exclusive rights including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of such Feedback for any purpose commercial or otherwise, without acknowledgment or compensation to User.​

18. INDEMNITY

User agrees to defend, indemnify, and hold Bric, its affiliates, independent contractors, service providers, and consultants, as well as their respective directors, employees, and agents, harmless from any claims, damages, costs, liabilities, and expenses (including, but not limited to reasonable attorney’s fees) that arise from or are related to any content User posts, stores, or otherwise transmits on or through User's social networks. This includes, without limitation, any actual or threatened legal actions, demands, or claims made against Bric and/or its affiliates, independent contractors, service providers, employees, directors, or consultants, arising from or related to User's conduct, User's violation of these T&C, or User's infringement of any third party's rights.

19. DISCLAIMER

Except as expressly provided to the contrary in a writing by Bric, the Sites, the Site Materials contained therein and the Services are provided on an “as is” basis without warranties of any kind, either express or implied. Bric disclaims all other warranties, express or implied, including without limitation, implied warranties of merchantability fitness for a particular purpose, title and non-infringement as to the Sites and the Services, including the information, content and materials contained therein. See our General Disclaimer. Bric does not represent or warrant that materials in the Sites or the Services are accurate, complete, reliable, current or error-free. Bric does not represent or warrant that the Sites or its servers are free of viruses or other harmful components. Bric is not responsible for typographical errors or omissions relating to pricing, text or photography. While Bric attempts to make User’s access and use of the Sites and the Services safe, Bric cannot and does not represent or warrant that the Sites or its servers are free of viruses or other harmful components; therefore User should use industry-recognized software to detect and disinfect viruses from any download.​

20. LIMITATION OF LIABILITY

​20.1 Under no circumstances shall Bric, its directors, members, employees, or agents be held liable for any direct, special, indirect, or consequential damages, or any other types of damages. This includes, but is not limited to, loss of use, loss of profits, or loss of data, whether arising from a contractual action, a tort (including, but not limited to, negligence), or any other cause, related to or connected in any way with the utilization or inability to utilize the Sites, the Services, the content, or the materials accessible through the Sites. This encompasses, without limitation, damages resulting from User's reliance on information obtained from Bric, or that arise from errors, omissions, interruptions, file deletions, email errors, defects, viruses, operational delays, or any performance failure, whether or not it results from acts of nature, communication disruptions, theft, destruction, or unauthorized access to Bric's records, programs, or services. 20.2 Under no circumstances shall Bric's total liability, whether in contract, warranty, tort (including negligence, whether active, passive, or imputed), product liability, strict liability, or any other legal theory, related to the utilization or inability to use the Sites or the Services, or these T&C, exceed any compensation paid, if any, by User to Bric for access to or use of the Sites. 20.3 There are inherent risks associated with the use of an internet-based blockchain protocol (including any actual or potential implementation of a customized ERC-1155 standard) such as, but not limited to, the loss of the Tokens and any cryptocurrency, irrespective of whether they were distributed by the Company or not, or hardware or software damage resulting from blockchain-based transactions risks, including theft or unauthorized access to information stored within User's Account or the digital assets held in User's Wallet. Blockchain-based transactions risks include –but are not limited to– issues like excessive network traffic, computer breakdowns, blockchain malfunctions, user errors, Token theft, or cyber-attacks on the network. User acknowledges and accepts that Bric will not be held responsible for any communication failures, disruptions, errors, distortions, delays, or fraudulent activities by third parties that may occur due to circumstances beyond Bric’s control.​

BRIC WILL NOT ASSUME RESPONSIBILITY OR LIABILITY TOWARDS USER FOR ANY LOSSES AND DISCLAIMS ANY RESPONSIBILITY FOR, AND WILL NOT BE LIABLE TO USER FOR ANY DAMAGES ARISING FROM DECISIONS OR ACTIONS MADE BY USER BASED ON BRIC SITES' CONTENT, INFORMATION REGARDING BRIC’S OFFERINGS, OR THROUGH THE USE OF CRYPTOCURRENCY OR THE TOKENS, INCLUDING, BUT NOT LIMITED TO, LOSSES, DAMAGES, OR CLAIMS ARISING FROM: (A) USER ERRORS SUCH AS FORGOTTEN PASSWORDS, INCORRECTLY CONSTRUCTED TRANSACTIONS, INCORRECT CRYPTOCURRENCY WALLET ADDRESSES, BANK WIRE INFORMATION, OR MISTYPED ADDRESSES.(B) CORRUPTED WALLET FILES.(C) SERVER FAILURES OR DATA LOSS.(D) UNAUTHORIZED ACCESS TO SITES OR SERVICE.(E) ANY UNAUTHORIZED THIRD-PARTY ACTIVITIES, INCLUDING, WITHOUT LIMITATION, THE USE OF VIRUSES, PHISHING, BRUTE-FORCING, OR OTHER CYBER ATTACKS AGAINST THE BRIC SITES OR ANY ASSOCIATED SERVICES.​

21. APPLICABLE LAW; JURISDICTION; WAIVER OF JURY TRIAL

21.1 These T&Cs and User’s use of the Sites shall be governed by and construed in accordance with the laws of the State of Delaware applicable to agreements made and to be entirely performed within the State of Delaware without resort to its conflict of law provisions.​

21.2 User agrees that any legal suit, action, or proceeding arising out of or relating to these T&Cs shall be filed in the courts of Delaware or the federal courts of the United States located in Delaware, and User hereby irrevocably and unconditionally consents and submits to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of these T&Cs.

​21.3 USER IRREVOCABLY AND UNCONDITIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LEGAL ACTION ARISING OUT OF OR RELATING TO THESE T&CS AND THE SERVICES CONTEMPLATED HEREBY, AND REPRESENTS THAT COUNSEL HAS BEEN CONSULTED SPECIFICALLY AS TO THIS WAIVER.

22. TERMINATION

Notwithstanding any of these T&Cs, Bric reserves the right, without notice and in its sole and absolute discretion, to terminate User’s license to use the Sites, and to block or prevent User´s future access to and use of the Sites.​

23. SEVERABILITY

If any provision of these T&Cs shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these T&Cs and shall not affect the validity and enforceability of any remaining provisions.‍

This information is used by Bric to enable it to meet its legal obligations, especially in terms of meeting its anti-terrorism and anti-money laundering requirements, laws and regulations. Occasionally, Bric will process additional data to prevent fraudulent or illicit use of the Services.​

3.3 Data Collection When Visiting the Sites

When you visit the Sites, Bric records each access instance in a log file, storing the following data:Information about your computer or mobile device;The website from which our domain is accessed and usage details;The country from which the Sites is accessed;The operating system of your computer;The name of your internet provider;The name and URL of the accessed data;IP address of the accessing computer; andDate and time of access.​These data are typically anonymized and are solely used to establish a connection with the Sites, maintain ongoing system security and stability, and for statistical purposes. Bric does not knowingly collect personal information from any person under the age of 18.​

If a user submitting Personal Data is suspected of being younger than 18 years of age, Bric will require the user to close his or her account. Bric will also take all necessary steps to delete his or her information as soon as possible.​
